1. Acceptance of Terms
By creating an account, purchasing a subscription, or accessing any part of the software and services provided by Odyssey Framework ("we," "us," or "our"), you explicitly agree to be bound by these Terms of Service and our Privacy Policy.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not have such authority, or if you do not agree to these Terms, you must not accept these Terms and may not use the service.
2. Eligibility and User Accounts
You must be legally capable of entering into a binding agreement in your jurisdiction and be at least 18 years of age to open an account. You are responsible for providing accurate, current, and complete account information during registration, and keeping that data up to date.
You are entirely responsible for protecting your login credentials and maintaining the security of your account, as well as for all activity conducted through it. You must notify us immediately of any unauthorized access. You may not share your account or access credentials in a way that circumvents plan limits, security controls, or subscription structures.
3. Odyssey Explorer Membership
The Odyssey Explorer tier is a recurring, paid subscription membership. Unless otherwise expressly stated at checkout, subscriptions automatically renew at the conclusion of each billing period (e.g., monthly or annually) until properly canceled.
- Prices, tier entitlements, and included usage allocations are shown on our Pricing page and confirmed at checkout.
- Usage limits reset automatically at the beginning of each applicable billing cycle.
- Unused usage allocations do not roll over to subsequent periods unless Odyssey Framework explicitly states otherwise in writing.
- We reserve the right to change available features, operational limits, or subscription pricing with reasonable advance notice.
4. Pricing, Billing, Renewals, and Cancellation
All subscription charges and transaction payments are processed securely through Stripe or another third-party payment processor identified at checkout. By subscribing, you authorize recurring charges to your chosen payment method until cancellation.
You may cancel your subscription at any time through your account’s billing settings page. Upon cancellation, your access continues until the end of the current paid billing period, at which point it will terminate.
5. Refund Policy
Except where strictly required by applicable consumer law, all payments made to Odyssey Framework are final and nonrefundable. We do not provide partial-month refunds, credits, or prorated adjustments for mid-cycle cancellations or periods of inactivity.
6. AI-Generated Content and Recommendations
Odyssey Framework provides an AI-assisted business analysis and decision-support platform. The platform utilizes artificial intelligence models to dynamically generate output including, but not limited to:
- business analyses
- stage scores
- evidence summaries
- confidence assessments
- bottleneck identification
- strengths and weaknesses
- strategic recommendations
- other AI-generated content
Critical AI Disclaimer: AI-generated outputs are algorithmic interpretations and predictions. You acknowledge and agree that AI-generated output may be incomplete, inaccurate, outdated, or entirely unsuitable for your specific business circumstances. Odyssey Framework does not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated output.
You are solely responsible for independently verifying all critical information, validating factual data, and performing your own thorough due diligence before making business, financial, legal, tax, investment, employment, operational, or strategic decisions.
7. No Professional Advice
Odyssey Framework provides informational business analysis and decision-support tools only. The platform, its software, and its outputs do not constitute, and should never be treated as, legal, tax, accounting, investment, medical, employment, regulatory, or other licensed professional advice.
Any reliance on the platform's material is strictly at your own risk, and you are strongly advised to consult qualified, licensed professionals for specific professional guidance.
8. Subscription Usage Limits
To maintain system stability and fair resource allocation, your subscription plan dictates specific operational and usage thresholds (such as API call limits, query limits, or storage volume). Bypassing, attempting to bypass, or artificially spreading activities to manipulate these usage constraints is strictly prohibited. We reserve the right to throttle, suspend, or upgrade your account if your usage consistently exceeds standard parameters.
9. User Responsibilities
When using Odyssey Framework, you represent and warrant that you possess all necessary rights, licenses, and permissions for any data or assets you process through the platform. You are fully responsible for ensuring that your operational practices, inputs, and business executions conform to all legal requirements within your operating jurisdiction.
10. Acceptable Use
You agree not to use Odyssey Framework to, nor allow any third party to:
- Violate local, national, or international laws, or facilitate fraudulent, abusive, or deceptive behavior.
- Attempt to circumvent platform usage limits, paywalls, verification controls, or infrastructure security systems.
- Reverse engineer, decompile, scrape, automatedly extract, overload, disrupt, or maliciously interfere with the service.
- Upload, introduce, or transmit malware, viruses, ransomware, or any other destructive or harmful code.
- Infringe upon the intellectual property, privacy, publicity, or contract rights of any entity or individual.
- Resell, lease, sublicense, or commercially redistribute platform access or features without our express written permission.
11. User Content and Ownership
You retain full proprietary ownership of all data, text, files, documents, and business details you submit or upload to the platform ("User Content").
You grant Odyssey Framework a worldwide, limited, non-exclusive, royalty-free license to process, host, parse, transmit, and display your User Content, solely to the extent necessary to provide, secure, maintain, analyze, and improve the services for you. You must not submit confidential or proprietary data that you lack the right to distribute or that would violate non-disclosure obligations.
12. Intellectual Property
The Odyssey Framework, the proprietary Odyssey Business Value Chain methodology, the system's structural layout, design assets, software code, underlying prompts, documentation, branding elements, and all original content are owned exclusively by Odyssey Framework or its licensors.
These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use the platform for its intended operational purpose while your subscription remains active and in good standing.
13. Third-Party Services
Our platform integrates with and relies upon sophisticated third-party service providers, including payment systems (such as Stripe) and advanced AI infrastructure vendors.
Your use of features powered by these providers may be subject to their respective terms and privacy policies. You acknowledge that we do not control, and cannot be held liable for, the operational performance, technical failures, service modifications, or availability of these third-party systems.
14. Privacy Policy Reference
Your privacy and the security of your data are vital to us. Our collection, handling, storage, and sharing of personal data and platform usage parameters are governed by our comprehensive Privacy Policy, which is incorporated directly into these Terms by reference.
15. Service Availability
While we strive for high uptime and continuous reliability, Odyssey Framework does not guarantee uninterrupted availability, seamless operation, or the permanent retention of your data. The service may occasionally be unavailable due to scheduled maintenance, infrastructural updates, or unforeseen technical failures.
16. Updates and Feature Changes
As a modern AI SaaS provider, we regularly evolve our platform. Odyssey Framework reserves the right to modify, introduce, update, deprecate, or temporarily suspend specific features, workflows, core models, or system functionalities at any time without liability to you.
17. Suspension and Termination
We reserve the right to suspend or terminate your account and platform access immediately, without prior notice or liability, for non-payment, suspected fraudulent activity, security vulnerabilities originating from your account, legal/regulatory compulsions, or material violations of these Terms. You may cease using the service and cancel your active membership at any time.
18. Disclaimers
To the fullest extent permitted by law, the service is provided on an “as is” and “as available” basis. Odyssey Framework explicitly disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, absolute data security, and systemic accuracy.
19. Limitation of Liability
To the fullest extent permitted by law, Odyssey Framework, its owners, affiliates, contractors, directors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. This includes, without limitation, losses, damages, missed opportunities, negative business decisions, financial losses, legal consequences, lost profits, or data corruption resulting from your reliance on AI-generated scores, evidence summaries, recommendations, analyses, or any other platform outputs.
In no event shall Odyssey Framework’s total collective liability arising out of or related to these Terms or the service exceed the actual amount paid by you to Odyssey Framework during the three (3) months immediately preceding the event giving rise to the claim.
20. Indemnification
You agree to defend, indemnify, and hold harmless Odyssey Framework, its parent companies, owners, affiliates, and employees from and against any claims, liabilities, damages, losses, costs, or legal expenses (including reasonable attorneys' fees) arising out of or relating to your misuse of the platform, violation of these Terms, or any infringement of third-party rights caused by your User Content.
21. Governing Law
These Terms of Service, your relationship with Odyssey Framework, and any disputes arising from your use of the service shall be governed by and construed in accordance with the laws of the jurisdiction in which Odyssey Framework is primary registered, without regard to its conflict of law principles.
22. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that specific provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall continue in full force and effect.
